1. Introduction and Acceptance

1.1 Welcome to Brivo SYT Solutions Private Limited ("SYT Solutions," "we," "us," or "our") provides various products and services, including but not limited to KYC, BGV, and due-diligence platforms, collectively referred to as "Brivo" or the "Services." These Master Terms of Service ("Terms") govern your access to and use of Brivo and all its sub-products. By creating an account or using any part of the Services, you ("User," "you," or "your") agree to be legally bound by these Terms. If you do not agree with these Terms, please do not use the Services.

1.2 Scope of Services These Terms apply to all users of Brivo and its sub-products, regardless of the specific platform or service used. Additional terms may apply to certain sub-products, which will supplement these Master Terms.

1.3 Acceptance of Terms You accept these Terms by:

• Creating an account on any Brivo platform;
• Accessing or using any of the Services; or
• Continuing to use the Services after changes to these Terms are posted.

1.4 Changes to Terms SYT Solutions reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

2. Eligibility and Account Registration

2.1 Eligibility To use the Services, you must:

• Be at least 18 years old and legally capable of entering into binding contracts.
• Not be a person barred from receiving services under the laws of India or other applicable jurisdiction.

2.2 Account Registration

• You must provide accurate, complete, and updated information during registration.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.

2.3 Account Termination SYT Solutions reserves the right to terminate or suspend your account at any time, for any reason, including but not limited to:

• Violation of these Terms;
• Suspicious or fraudulent activity; or
• Any other reason determined by our moderators.

3. Use of Services

3.1 Permitted Use You may use the Services in compliance with all applicable laws and these Terms. You are solely responsible for ensuring that your use of the Services complies with all relevant legal and regulatory requirements.

3.2 Prohibited Use You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose;
• Interfere with or disrupt the integrity or performance of the Services;
• Attempt to gain unauthorized access to any part of the Services or related systems;
• Use the Services to transmit any harmful or malicious code;
• Violate the rights of any third party, including intellectual property rights.

3.3 API Usage If you access the Services via our Application Programming Interface (API), the following terms apply:

• Rate Limits: You agree to adhere to any rate limits or usage quotas established by SYT Solutions. We reserve the right to throttle or block API requests that exceed these limits.
• No Scraping: You may not use the API to scrape, crawl, or mass-export data that is not explicitly intended for such retrieval under your specific subscription plan.
• Reverse Engineering: You may not reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the API.
• Access Revocation: SYT Solutions reserves the right to revoke your API access keys at any time if we detect abuse, security vulnerabilities, or violation of these Terms.

3.4 Misuse and High-Risk Prohibition You are strictly prohibited from using the Services for any high-risk activities where the failure or inaccuracy of the Services could lead to death, personal injury, or physical or environmental damage. Furthermore, you agree not to use the Services for purposes of illegal discrimination, harassment, or in violation of fundamental human rights.

3.5 Third-Party Integration You may integrate the Services with third-party tools or platforms at your own risk. SYT Solutions is not responsible for any issues arising from such integration.

4. Intellectual Property Rights

4.1 User Content

• You retain ownership of all raw data and content you upload to the Services ("User Data").
• By uploading content, you grant SYT Solutions a non-exclusive, worldwide, royalty-free license to use, display, process, and distribute such content solely for the purpose of providing the Services.

4.2 SYT Solutions Intellectual Property

• All trademarks, logos, software, and other intellectual property provided by SYT Solutions remain our exclusive property.
• You may not use our intellectual property except as expressly permitted in these Terms.

4.3 Derived Data and Improvements SYT Solutions shall own all right, title, and interest in and to any data, reports, analytics, insights, or machine learning models generated, derived, or improved by the Services based on User Data ("Derived Data"), provided that such Derived Data is aggregated or anonymized such that it does not identify the User or any specific individual. SYT Solutions may use Derived Data for any business purpose, including service improvement and the development of new products.

5. Payments, Billing, and Fees

5.1 Pricing and Payment

• Some Services may require payment. Pricing models (subscription, one-time, usage-based) vary by platform.
• All payments are prepaid. Refunds are subject to the specific terms of the sub-product/service you use.

5.2 Non-Payment Failure to make timely payments may result in suspension or termination of your account.

• Your use of the Services is governed by our Privacy Policy.
• You must provide personal data to use the Services. Refusal to provide required data will prevent access.

6.2 Data Sharing

• We do not sell or rent your personal data to third parties.

6.3 Data Responsibility

• You are solely responsible for the accuracy and legality of all data and information you upload or process using the Services.
• You represent and warrant that you have all necessary rights, consents, and authorizations (including written consent from data subjects where required by law) to upload and process such data.

7.1 Compliance Responsibility You acknowledge that Brivo is a tool to assist in your decision-making process. You are solely responsible for:

• Ensuring that your use of the data obtained through the Services complies with all applicable local, state, and national laws (including but not limited to data privacy laws and employment laws);
• Obtaining any necessary consents from data subjects prior to conducting background checks or due diligence; and
• Making final decisions based on the data provided. SYT Solutions does not make decisions on your behalf regarding hiring, creditworthiness, or business associations.

7.2 Indemnification You agree to indemnify, defend, and hold harmless SYT Solutions, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or losses arising from:

• Your use of the Services;
• Your violation of these Terms;
• Any data or content you upload or process; or
• Your failure to comply with applicable laws regarding data privacy or consumer reporting.

8. Disclaimers and Limitation of Liability

8.1 No Guarantee of Accuracy The data and reports provided through the Services are derived from public records, third-party databases, and user-submitted information. While we strive for accuracy, SYT Solutions does not guarantee the accuracy, completeness, timeliness, or reliability of any information provided. You are advised to verify any critical information independently before taking action.

8.2 General Disclaimers

• The Services are provided "as is" and "as available".
• SYT Solutions does not warrant that the Services will be error-free, uninterrupted, or meet your specific requirements.
• The Services are not intended to provide legal or financial advice.

8.3 Limitation of Liability

• SYT Solutions shall not be liable for any indirect, incidental, special, or consequential damages.
• SYT Solutions' total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount paid by you for the Services in the preceding 12 months.

9. Service Level and Modifications

9.1 Service Level and Support Unless you have entered into a separate, written Enterprise Service Level Agreement ("SLA") with SYT Solutions:

• We do not guarantee any specific uptime or availability of the Services; and
• Support is provided on a "commercially reasonable efforts" basis.

9.2 Changes to Services SYT Solutions reserves the right to modify, suspend, or discontinue any part of the Services (including features, data sources, or UI) at any time without prior notice or liability.

10. Termination and Suspension

10.1 Termination by SYT Solutions SYT Solutions may terminate or suspend your account at any time, for any reason, including but not limited to violations of these Terms.

10.2 Effect of Termination Upon termination, your right to use the Services will cease immediately. SYT Solutions reserves the right to delete or retain your data as required by law.

11. Dispute Resolution

11.1 Arbitration Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Gurgaon, Haryana, in accordance with the Arbitration and Conciliation Act, 1996.

11.2 Governing Law These Terms shall be governed by and construed in accordance with the laws of India, with the courts in Gurgaon having exclusive jurisdiction.

12. Miscellaneous

12.1 Force Majeure SYT Solutions shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, war, strikes, riots, power failures, internet outages, fire, earthquake, floods, or government action.

12.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Entire Agreement These Terms, together with any sub-product-specific terms and (if applicable) any separate Enterprise SLA, constitute the entire agreement between you and SYT Solutions regarding the use of the Services.
